Common use of Compliance with Laws and Material Contractual Obligations Clause in Contracts

Compliance with Laws and Material Contractual Obligations. The Borrower will, and will cause each of its Subsidiaries to, (i) comply with all laws, rules, regulations and orders of any Governmental Authority applicable to it or its property (including without limitation Environmental Laws) and (ii) perform in all material respects its obligations under material agreements to which it is a party, in each case except where the failure to do so, individually or in the aggregate, could not reasonably be expected to result in a Material Adverse Effect.

Compliance with Laws and Material Contractual Obligations. The Borrower will, and will cause each of its Subsidiaries to, (i) comply with all laws, rules, regulations and orders of any Governmental Authority applicable to it or its property (including without limitation Environmental Laws) and (ii) perform in all material respects its obligations under material agreements to which it is a partyContractual Obligations, in each case except where the failure to do so, individually or in the aggregate, could not reasonably be expected to result in a Material Adverse Effect; provided that the foregoing shall not be construed to prevent the Borrower or any such Subsidiary from contesting any of the same by appropriate proceedings.

The Borrower will, and will cause each of its Subsidiaries to, (i) comply with (a) all laws, rules, regulations and orders of any Governmental Authority applicable to it or its property (including without limitation Environmental Laws) property, and (iib) perform in all material respects its obligations under material agreements to which it is a partycontractual obligations, except in each case except case, where the failure to do so, individually or in the aggregate, could not reasonably be expected to result in a Material Adverse Effect.

The Borrower will, and will cause each of its Subsidiaries Guarantor to, (i) comply in all material respects with all laws, rules, regulations and orders of any Governmental Authority applicable regulations, orders, writs, judgments, injunctions, decrees or awards to which it or its property (including may be subject including, without limitation limitation, all Environmental Laws) Laws and (ii) perform in all material respects its obligations under material agreements to which it is a party, in each case except where the failure to do soperform such obligations would not reasonably be expected, individually or in the aggregate, could not reasonably be expected to result in have a Material Adverse Effect.
