Compliance with Laws; Confidentiality. (a) The Sub-Adviser agrees that it will comply with all applicable federal laws, rules and regulations, including the 1940 Act, and all applicable laws, rules and regulations of the State of North Carolina, in performance of its duties hereunder (herein called the “Rules,” and each a “Rule”). To the extent that the applicable laws of the State of North Carolina conflict with the applicable provisions of the 1940 Act, the latter shall control.
