Common use of Compliance with Laws; Environmental Laws; and Environmental Permits Clause in Contracts

Compliance with Laws; Environmental Laws; and Environmental Permits. (a) None of the Partnership Entities is in violation of any Law applicable to such entity, including, without limitation, Foreign Corrupt Practices Act of 1977, as amended, OFAC regulations and Money Laundering Laws, except as would not, individually or in the aggregate, have a Material Adverse Effect. Each of the Partnership Entities possesses all Permits issued by the appropriate regulatory authorities necessary to own its properties and to conduct its business, except where the failure to possess such Permits would not, individually or in the aggregate, have a Material Adverse Effect, and none of the Partnership Entities has received any written notice of proceedings relating to the revocation or modification of any such Permit, except where such potential revocation or modification would not, individually or in the aggregate, have a Material Adverse Effect.
