COMPLIANCE WITH LAWS IN GENERAL. The Company, the Shareholders and Company's licensed employees have complied with all applicable laws, rules, regulations and licensing requirements, including, without limitation, the Federal Environmental Protection Act, the Occupational Safety and Health Act, the Americans with Disabilities Act and any environmental laws and medical waste laws, and there exist no violations by the Company, any Shareholder or any licensed employee of the Company of any federal, state or local law or regulation unless the failure to do so would have no material negative impact upon the Company. Neither the Company nor any Shareholder has received any notice of a violation of any federal, state and local laws, regulations and ordinances relating to the operations of the business and assets of the Company and no notice of any pending inspection or violation of any such law, regulation or ordinance has been received by the Company or any Shareholder unless such notice or violation would have no material negative impact upon the Company.
