Common use of Compliance with Laws, Instruments, Etc Clause in Contracts

Compliance with Laws, Instruments, Etc. At its expense, promptly (a) comply, or cause compliance, in all material respects, with all laws, rules, regulations and Legal Requirements, including laws, rules, regulations and Legal Requirements, relating to pollution control, environmental protection, equal employment opportunity or employee benefit plans and employee safety, with respect to Borrower or the Project, whether or not compliance therewith shall require structural changes in the Project or any part thereof or require major changes in operational practices or interfere with the use and enjoyment of the Project or any part thereof, and (b) procure, maintain and comply, or cause to be procured, maintained and complied with, in all material respects, all Permits required for any use of the Project or any part thereof, then being made or contemplated by the Operative Documents, except that Borrower may, at its expense, contest by appropriate proceedings conducted in good faith the validity or application of any such law, rule or regulation; provided that, (i) neither Lender nor Borrower would be subject to any criminal liability for failure to comply therewith and (ii) all proceedings to enforce such law, rule or regulation against Lender, Borrower, or the Project or any part of any of them, shall have been duly and effectively stayed during the entire pendency of such contest.

At its expense, promptly within such time as may be required by Legal Requirements (a) comply, or cause compliance, in all material respects, with all laws, rules, regulations and Legal Requirements, including laws, rules, regulations and Legal Requirements, relating to pollution control, environmental protection, equal employment opportunity or employee benefit plans and employee safety, with respect to Borrower or the Project, whether or not compliance therewith shall require structural changes in the Project or any part thereof or require major changes in operational practices or interfere with the use and enjoyment of the Project or any part thereof, thereof except for such noncompliance which would not reasonably be expected to have a Material Adverse Effect; and (b) procure, maintain and comply, or cause to be procured, maintained and complied with, in all material respects, all Permits required for any use of the Project or any part thereof, then being made or contemplated by the Operative DocumentsDocuments except for such noncompliance which would not reasonably be expected to have a Material Adverse Effect, except that Borrower may, at its expense, contest by appropriate proceedings conducted in good faith the validity or application of any such law, rule or regulation; Legal Requirements provided that, that (i) neither Lender Lender, nor Borrower would be subject to any criminal liability for failure to comply therewith therewith; and (ii) all proceedings to enforce such law, rule or regulation Legal Requirements against Lender, Borrower, Borrower or the Project or any part of any of them, shall have been duly and effectively stayed during the entire pendency of such contest.
