Common use of Compliance with Laws; Legal Proceedings Clause in Contracts

Compliance with Laws; Legal Proceedings. (a) The Company is not in violation of, or in default with respect to, any applicable law, statute, regulation, ordinance, writ, injunction, order, judgment, decree or any Governmental License, including any federal state or local law regarding or relating to trespass or violations of privacy rights, which violation or default could reasonably be expected to have a Material Adverse Effect.

(a) The Company is not in violation of, or in default with respect to, any applicable lawterm or provision of (i) its Articles of Incorporation or Bylaws, statute, regulation, ordinanceor (ii) any judgment, writ, order, injunction, orderor decree of any court or of any federal, judgmentstate, decree or municipal agency or authority in any Governmental License, including any federal state case or local law regarding or relating to trespass or violations of privacy rights, which violation or default could reasonably be expected to have a Material Adverse Effectproceeding expressly naming the Company.
