Compliance with Laws; No Adverse Action or Decision. No Governmental Entity of competent jurisdiction shall have issued any Order restraining, enjoining or otherwise prohibiting the consummation of the transactions contemplated by the Transaction Agreements. No action, suit or other proceeding by any Governmental Entity shall have been instituted that seeks to restrain, enjoin, prohibit or otherwise make illegal the performance of any of the Transaction Agreements or the consummation of the transactions contemplated hereby or thereby.
