Compliance with Laws, Other Instruments, Etc. The execution, delivery and performance by such Guarantor of this Guaranty Agreement will not (a) contravene, result in any breach of, or constitute a default under, or result in the creation of any Lien in respect of any property of such Guarantor or any of its Subsidiaries under, any indenture, mortgage, deed of trust, loan, purchase or credit agreement, lease, organizational documents, or any other agreement or instrument to which such Guarantor or any of its Subsidiaries is bound or by which such Guarantor or any of its Subsidiaries or any of their respective properties may be bound or affected, (b) conflict with or result in a breach of any of the terms, conditions or provisions of any order, judgment, decree, or ruling of any court, arbitrator or Governmental Authority applicable to such Guarantor or any of its Subsidiaries or (c) violate any provision of any statute or other rule or regulation of any Governmental Authority applicable to such Guarantor or any of its Subsidiaries.

The execution, delivery and performance by such each Subsidiary Guarantor of this Subsidiary Guaranty Agreement will not (ai) contravene, result in any breach of, or constitute a default under, or result in the creation of any Lien in respect of any property of such Subsidiary Guarantor or any of its Subsidiaries under, any indenture, mortgage, deed of trust, loan, purchase or credit agreement, lease, organizational documentscorporate charter, regulations or by-laws, operating agreement, shareholders agreement or any other agreement or instrument to which such Subsidiary Guarantor or any of its Subsidiaries is bound or by which such Subsidiary Guarantor or any of its Subsidiaries or any of their respective properties may be bound or affected, (bii) conflict with or result in a breach of any of the terms, conditions or provisions of any order, judgment, decree, decree or ruling of any court, arbitrator or Governmental Authority applicable to such Subsidiary Guarantor or any of its Subsidiaries or (ciii) violate any provision of any statute or other rule or regulation of any Governmental Authority applicable to such Guarantor or any of its SubsidiariesSubsidiary Guarantor.

The execution, delivery and performance by such Subsidiary Guarantor of this Guaranty Agreement Subsidiary Guarantee will not (ai) contravene, result in any breach of, or constitute a default under, or result in the creation of any Lien in respect of any property of such Subsidiary Guarantor or any of its Subsidiaries under, any indenture, mortgage, deed of trust, loan, purchase or credit agreement, lease, organizational documentscorporate charter or by-laws, or any other agreement or instrument to which such Guarantor or any of its Subsidiaries it is bound or by which such Guarantor it or any of its Subsidiaries or any of their respective properties may be bound or affected, (bii) conflict with or result in a breach of any of the terms, conditions or provisions of any order, judgment, decree, or ruling of any court, arbitrator or Governmental Authority applicable to such Subsidiary Guarantor or any of its Subsidiaries or (ciii) violate any provision of any statute or other rule or regulation of any Governmental Authority applicable to such Guarantor Subsidiary Guarantor; except, in each case, any such breach, default, conflict, violation or any of its SubsidiariesLien that would not reasonably be expected to have a Material Adverse Effect.

The execution, delivery and performance by such the Guarantor of this Guaranty and the Note Purchase Agreement will not (a) contravene, result in any breach of, or constitute a default under, or result in the creation of any Lien Encumbrance in respect of any property of such the Guarantor or any of its Subsidiaries Subsidiary under, any indenture, mortgage, deed of trust, loan, purchase or credit agreement, lease, organizational documentscharter, by-laws, partnership agreement, limited liability company agreement or any other agreement or instrument to which such the Guarantor or any of its Subsidiaries is bound or by which such the Guarantor or any of its Subsidiaries or any of their respective properties may be bound or affected, (b) conflict with or result in a breach of any of the terms, conditions or provisions of any order, judgment, decree, or ruling of any court, arbitrator or Governmental Authority applicable to such the Guarantor or any of its Subsidiaries or (c) violate any provision of any statute or other rule or regulation of any Governmental Authority applicable to such the Guarantor or any of its Subsidiaries.

The execution, delivery and performance by such Acceding Subsidiary Guarantor of this Guaranty Agreement Instrument of Accession and the Subsidiary Guarantee will not (ai) contravene, result in any breach of, or constitute a default under, or result in the creation of any Lien in respect of any property of such Acceding Subsidiary Guarantor or any of its Subsidiaries under, any indenture, mortgage, deed of trust, loan, purchase or credit agreement, lease, organizational documentscorporate charter or by-laws, or any other Material agreement or instrument to which such Guarantor or any of its Subsidiaries it is bound or by which such Guarantor it or any of its Subsidiaries or any of their respective properties may be bound or affected, (bii) conflict with or result in a breach of any of the terms, conditions or provisions of any order, judgment, decree, or ruling of any court, arbitrator or Governmental Authority applicable to such Acceding Subsidiary Guarantor or any of its Subsidiaries or (ciii) violate any provision of any statute or other rule or regulation of any Governmental Authority applicable to such Guarantor Acceding Subsidiary Guarantor; except, in each case, any such breach, default, conflict, violation or any of its SubsidiariesLien that would not reasonably be expected to have a Material Adverse Effect.

The execution, delivery and performance by such Member Guarantor of this Guaranty Agreement Deed of Guarantee will not (ai) contravene, result in any breach of, or constitute a default under, or result in the creation of any Lien in respect of any property of such Member Guarantor or any of its Subsidiaries under, any indenture, mortgage, deed of trust, loan, purchase or credit agreement, lease, corporate charter, memorandum or articles of association, partnership agreement, regulations or by-laws or other organizational documentsdocument, or any other agreement or instrument to which such Member Guarantor or any of its Subsidiaries is bound or by which such Member Guarantor or any of its Subsidiaries or any of their respective properties may be bound or affected, (bii) conflict with or result in a breach of any of the terms, conditions or provisions of any order, judgment, decree, or ruling of any court, arbitrator or Governmental Authority applicable to such Member Guarantor or any of its Subsidiaries or (ciii) violate any provision of any statute or other rule or regulation of any Governmental Authority applicable to such Guarantor or any of its SubsidiariesMember Guarantor.

The execution, delivery and performance by such the Company or any Guarantor of this Guaranty Exchange Agreement and the Notes will not (ai) contravene, result in any breach of, or constitute a default under, or result in the creation of any Lien in respect of any property of such Guarantor the Company or any of its Subsidiaries Guarantor under, any indenture, mortgage, deed of trust, loan, purchase or credit agreement, lease, organizational documentscorporate charter, memorandum and articles of association, regulations or by-laws, or any other material agreement or instrument to which such Guarantor the Company or any of its Subsidiaries Guarantor is bound or by which such Guarantor the Company or any of its Subsidiaries Guarantor or any of their respective properties may be bound or affected, (bii) conflict with or result in a breach of any of the terms, conditions or provisions of any order, judgment, decree, or ruling of any court, arbitrator or Governmental Authority governmental authority applicable to such the Company or any Guarantor or any of its Subsidiaries or (ciii) violate any provision of any statute or other rule or regulation of any Governmental Authority governmental authority applicable to such Guarantor the Company or any of its SubsidiariesGuarantor.

Compliance with Laws, Other Instruments, Etc. The execution, delivery and performance by such Guarantor of this Guaranty Agreement will not (a) contravene, result in any breach of, or constitute a default under, or result in the creation of any Lien in respect of any property of such Guarantor or any of its Subsidiaries under, any indenture, mortgage, deed of trust, loan, purchase or credit agreement, lease, corporate charter or by-laws or other organizational documents, shareholders agreement or any other agreement or instrument to which such Guarantor or any of its Subsidiaries is bound or by which such Guarantor or any of its Subsidiaries or any of their respective properties Properties may be bound or affected, (b) conflict with or result in a breach of any of the terms, conditions or provisions of any order, judgment, decree, decree or ruling of any court, arbitrator or Governmental Authority applicable to such Guarantor or any of its Subsidiaries or (c) violate any provision of any statute or other rule or regulation of any Governmental Authority applicable to such Guarantor or any of its Subsidiaries.

The execution, delivery and performance by such Guarantor of this Guaranty Agreement will not (a) contravene, result in any breach of, or constitute a default under, or result in the creation of any Lien in respect of any property of such Guarantor or any of its Subsidiaries under, any indenture, mortgage, deed of trust, loan, purchase or credit agreement, lease, organizational documentscorporate charter or bylaws, shareholder agreement, or any other agreement or instrument to which such Guarantor or any of its Subsidiaries is bound or by which such Guarantor or any of its Subsidiaries or any of their respective properties may be bound or affected, (b) conflict with or result in a breach of any of the terms, conditions or provisions of any order, judgment, decree, or ruling of any court, arbitrator or Governmental Authority applicable to such Guarantor or any of its Subsidiaries or (c) violate any provision of any statute or other rule or regulation of any Governmental Authority applicable to such Guarantor or any of its Subsidiaries.

The execution, delivery and performance by such Guarantor of this Subsidiary Guaranty Agreement will not (a) contravene, result in any breach of, or constitute a default under, or result in the creation of any Lien in respect of any property of such Guarantor or any of its Subsidiaries under, any Material indenture, mortgage, deed of trust, loan, purchase or credit agreement, lease, organizational documents, or any other Material agreement or instrument to which such Guarantor or any of its Subsidiaries is bound or by which such Guarantor or any of its Subsidiaries or any of their respective properties may be bound or affected, (b) conflict with or result in a breach of any of the terms, conditions or provisions of any Material order, judgment, decree, or ruling of any court, arbitrator or Governmental Authority applicable to such Guarantor or any of its Subsidiaries or (c) violate violate, in any Material respect, any provision of any statute or other rule or regulation of any Governmental Authority applicable to such Guarantor or any of its Subsidiaries.

The execution, delivery and performance by such the Company and the Guarantor of this Agreement, the Notes and the Guaranty Agreement Agreement, as the case may be, will not (a) contravene, result in any breach of, or constitute a default under, or result in the creation of any Lien in respect of any property of such Guarantor the Company or any of its Subsidiaries Subsidiary under, any indenture, mortgage, deed of trust, loan, purchase or credit agreement, lease, organizational documentscorporate charter or by-laws, or any other agreement or instrument to which such Guarantor the Company or any of its Subsidiaries Subsidiary is bound or by which such Guarantor the Company or any of its Subsidiaries Subsidiary or any of their respective properties may be bound or affected, (b) conflict with or result in a breach of any of the terms, conditions or provisions of any order, judgment, decree, or ruling of any court, arbitrator or Governmental Authority applicable to such Guarantor the Company or any of its Subsidiaries Subsidiary or (c) violate any provision of any statute or other rule or regulation of any Governmental Authority applicable to such Guarantor the Company or any of its SubsidiariesSubsidiary.

The execution, delivery and performance by such each Guarantor of this Guaranty Agreement Guaranty, will not (a) contravene, result in any breach of, or constitute a default under, or result in the creation of any Lien in respect of any property of such Guarantor or any of its Subsidiaries under, any indenture, mortgage, deed of trust, loan, purchase or credit agreement, lease, organizational documentscharter, by-laws, partnership agreement, limited liability company agreement or any other agreement or instrument to which such Guarantor or any of its Subsidiaries is bound or by which such Guarantor or any of its Subsidiaries or any of their respective properties may be bound or affected, (b) conflict with or result in a breach of any of the terms, conditions or provisions of any order, judgment, decree, or ruling of any court, arbitrator or Governmental Authority applicable to such Guarantor or any of its Subsidiaries or (c) violate any provision of any statute or other rule or regulation of any Governmental Authority applicable to such Guarantor or any of its Subsidiaries.

The execution, delivery and performance by such Guarantor of this Guaranty Agreement will not (a) contravene, result in any breach of, or constitute a default under, or result in the creation of any Lien in respect of any property of such Guarantor or any of its Subsidiaries under, any indenture, mortgage, deed of trust, loan, purchase or credit agreement, lease, organizational documentscorporate charter, regulations or by-laws, shareholders agreement or any other agreement or instrument to which such Guarantor or any of its Subsidiaries is bound or by which such Guarantor or any of its Subsidiaries or any of their respective properties may be bound or affected, (b) conflict with or result in a breach of any of the terms, conditions or provisions of any order, judgment, decree, or ruling of any court, arbitrator or Governmental Authority applicable to such Guarantor or any of its Subsidiaries or (c) violate any provision of any statute or other rule or regulation of any Governmental Authority applicable to such Guarantor or any of its Subsidiaries.

The execution, delivery and performance by such Acceding Subsidiary Guarantor of this Guaranty Agreement Instrument of Accession and the Subsidiary Guarantee will not (a) contravene, result in any breach of, or constitute a default under, or result in the creation of any Lien in respect of any property of such Acceding Subsidiary Guarantor or any of its Subsidiaries under, any indenture, mortgage, deed of trust, loan, purchase or credit agreement, lease, organizational documentscorporate charter or by-laws, or any other agreement or instrument to which such Guarantor or any of its Subsidiaries it is bound or by which such Guarantor it or any of its Subsidiaries or any of their respective properties may be bound or affected, (b) conflict with or result in a breach of any of the terms, conditions or provisions of any order, judgment, decree, or ruling of any court, arbitrator or Governmental Authority applicable to such Acceding Subsidiary Guarantor or any of its Subsidiaries or (c) violate any provision of any statute or other rule or regulation of any Governmental Authority applicable to such Guarantor Acceding Subsidiary Guarantor; except, in each case, any such breach, default, conflict, violation or any of its SubsidiariesLien that would not reasonably be expected to have a Material Adverse Effect.

The execution, delivery and performance by such Guarantor of this Guaranty Agreement and the New Subordination Deeds and the performance of the Amended Note Agreement will not (a) contravene, result in any breach of, or constitute a default under, or result in the creation of any Lien in respect of any property of such any Amendment Party or Member Guarantor or any of its Subsidiaries under, any indenture, mortgage, deed of trust, loan, purchase or credit agreement, lease, corporate charter, partnership agreement, memorandum and articles of association, regulations or by-laws or other organizational documentsdocument, or any other agreement or instrument to which such any Amendment Party or Member Guarantor or any of its Subsidiaries other Member is bound or by which such any Amendment Party or Member Guarantor or any of its Subsidiaries other Member or any of their respective properties may be bound or affected, (b) conflict with or result in a breach of any of the terms, conditions or provisions of any order, judgment, decree, or ruling of any court, arbitrator or Governmental Authority applicable to such any Amendment Party or Member Guarantor or any of its Subsidiaries other Member or (c) violate any provision of any statute or other rule or regulation of any Governmental Authority applicable to such any Amendment Party or Member Guarantor or any of its Subsidiariesother Member.

The execution, delivery and performance by such the Guarantor of this Guaranty and the Note Purchase Agreement will not (a) contravene, result in any breach of, or constitute a default under, or result in the creation of any Lien in respect of any property of such the Guarantor or any of its Subsidiaries Subsidiary under, any indenture, mortgage, deed of trust, loan, purchase or credit agreement, lease, organizational documentscharter, by-laws, partnership agreement, limited liability company agreement or any other agreement or instrument to which such the Guarantor or any of its Subsidiaries is bound or by which such the Guarantor or any of its Subsidiaries or any of their respective properties may be bound or affected, (b) conflict with or result in a breach of any of the terms, conditions or provisions of any order, judgment, decree, or ruling of any court, arbitrator or Governmental Authority applicable to such the Guarantor or any of its Subsidiaries or (c) violate any provision of any statute or other rule or regulation of any Governmental Authority applicable to such the Guarantor or any of its Subsidiaries.

Compliance with Laws, Other Instruments, Etc. The execution, execution and delivery and performance by such Current Member Guarantor of this Guaranty Agreement and the Amendment Deed and the performance hereof and thereof and of the Amended Member Guarantee will not (a) contravene, result in any breach of, or constitute a default under, or result in the creation of any Lien in respect of any property of such Current Member Guarantor or any of its Subsidiaries under, any indenture, mortgage, deed of trust, loan, purchase or credit agreement, lease, corporate charter, partnership agreement, memorandum and articles of association, regulations or by-laws or other organizational documentsdocument, or any other agreement or instrument to which such Current Member Guarantor is bound or by which any such Current Member Guarantor or any of its Subsidiaries is bound or by which such Guarantor or any of its Subsidiaries or any of their respective properties may be bound or affected, (b) conflict with or result in a breach of any of the terms, conditions or provisions of any order, judgment, decree, or ruling of any court, arbitrator or Governmental Authority applicable to such Current Member Guarantor or any of its Subsidiaries or (c) violate any provision of any statute or other rule or regulation of any Governmental Authority applicable to such Guarantor or any of its SubsidiariesCurrent Member Guarantor.

The execution, delivery and performance by such each Subsidiary Guarantor of this Subsidiary Guaranty Agreement will not (ai) contravene, result in any breach of, or constitute a default under, or result in the creation of any Lien in respect of any property of such Subsidiary Guarantor or any of its Subsidiaries under, any indenture, mortgage, deed of trust, loan, purchase or credit agreement, lease, organizational documentscorporate charter, regulations or by‑laws, operating agreement, shareholders agreement or any other agreement or instrument to which such Subsidiary Guarantor or any of its Subsidiaries is bound or by which such Subsidiary Guarantor or any of its Subsidiaries or any of their respective properties may be bound or affected, (bii) conflict with or result in a breach of any of the terms, conditions or provisions of any order, judgment, decree, decree or ruling of any court, arbitrator or Governmental Authority applicable to such Subsidiary Guarantor or any of its Subsidiaries or (ciii) violate any provision of any statute or other rule or regulation of any Governmental Authority applicable to such Guarantor or any of its SubsidiariesSubsidiary Guarantor.
