Compliance with Laws; Preservation of Corporate Existence. The Originators shall comply in all material respects with all applicable laws (including, without limitation, ERISA and the Code), rules, regulations, orders and Originator Documents and preserve and maintain their corporate existence, rights, franchises, qualifications and privileges where the failure to comply could reasonably be expected to have a Material Adverse Effect.
