Common use of Compliance with Laws, Regulations, and Ethical Standards Clause in Contracts

Compliance with Laws, Regulations, and Ethical Standards. During the Term of this Agreement, PROVIDER and XXXXX shall at all times comply with all applicable federal, State or municipal statutes, ordinances, including, but not limited to, all applicable rules or regulations, all applicable federal and State tax laws, all applicable federal and State criminal laws, as well as the customary ethical standards of the appropriate professional society from which PROVIDER seeks advice and guidance or to which PROVIDER is subject to licensing and control. PROVIDER shall comply with all applicable laws and administrative requirements, including, but not limited to Medicaid and Medicare laws and regulations, the CMS policies and instructions, XXXXX’ and Plan(s)’ credentialing policies, processes, utilization review, quality improvement, medical management, peer review, complaint and grievance resolution programs, systems and procedures. If at any time during the Term of this Agreement, PROVIDER’s license to operate or to practice his/her/its profession is suspended, conditioned or revoked, PROVIDER shall immediately notify XXXXX, and without regard to a final adjudication or disposition of such suspension, condition or revocation, this Agreement shall immediately terminate, become null and void and be of no further force or effect, except as otherwise provided herein. PROVIDER agrees to cooperate with XXXXX in order that XXXXX may comply with any requirements imposed by State and federal law, as amended, and all regulations issued pursuant thereto.
