Compliance with Laws; Taxes. (a) Each Borrower will comply in all respects with all applicable laws, rules, regulations and orders (including, without limitation, ERISA and all Environmental Laws) except where the failure to so comply, either individually or in the aggregate, could not be reasonably expected to have a Material Adverse Effect.
