Compliance with Laws. The Issuer shall comply with the requirements of all applicable laws, rules, regulations and orders of any governmental authority, the non-compliance noncompliance with which wouldwould reasonably be expected to have, individually or in the aggregate, materially and adversely affect the ability of the Issuer to perform its obligations under the Notes, this Indenture or any Basic Documenta Material Adverse Effect.
