Common use of Compliance with Legal Requirements; Etc Clause in Contracts

Compliance with Legal Requirements; Etc. (a) The Borrower shall materially comply with all applicable Legal Requirements and exercise diligent good faith efforts to make such alterations to the Project and the Mortgaged Property as may be required for such compliance. (b) The Borrower shall obtain all Applicable Permits as promptly as possible, have when required all Applicable Permits necessary for the development, construction, ownership, leasing, maintenance and operation of the Project under applicable Legal Requirements and comply in all material respects with all Applicable Permits. The Borrower shall promptly upon receipt or publication furnish a copy (certified by a Responsible Officer of the Borrower) of each such Applicable Permit to the Administrative Agent. (c) The Borrower shall promptly upon receipt or publication furnish a copy (certified by a Responsible Officer of the Borrower) of each amendment, supplement or modification to any such Applicable Permit to the Administrative Agent and shall promptly furnish copies to the Administrative Agent of all material documents furnished to the Borrower by any Governmental Authority or furnished to any Governmental Authority by the Borrower. (d) The Borrower shall comply in all material respects with, and ensure compliance in all material respects by all tenants and subtenants, if any, with all applicable Environmental Laws and all applicable or relevant provisions of the Equator Principles, and obtain and comply in all material respects with and maintain, and ensure that all tenants and subtenants obtain and comply in all material respects with and maintain, any and all Permits required by applicable Environmental Laws or applicable provisions of the Equator Principles. (e) The Borrower shall conduct and complete all investigations, studies, sampling and testing, and all remedial, removal and other actions required under Environmental Laws and promptly comply in all material respects with all lawful orders and directives of all Governmental Authorities regarding Environmental Laws or the Equator Principles.

(b) The Borrower shall obtain Notwithstanding Section 5.3(a), where such compliance relates to (i) applicable Anti-Money Laundering Laws, comply in all material respects, or (ii) applicable Sanctions or applicable Anti-Corruption Laws, comply in all respects. (c) Implement, maintain, and enforce policies and procedures designed to promote and achieve compliance with applicable Anti-Corruption Laws, applicable Anti-Money Laundering Laws and applicable Sanctions. (d) Obtain all Applicable Permits as promptly as possible, have when required all Applicable Permits necessary for the development, construction, ownership, leasing, maintenance and operation of the applicable Project under applicable Legal Requirements and comply in all material respects with all Applicable Permits. The Borrower shall promptly upon receipt or publication furnish a copy (certified by a Responsible Officer of the Borrower) of each such Applicable Permit to the Administrative Agent. (ce) The Borrower shall promptly upon receipt or publication furnish a copy (certified by a Responsible Officer of the Borrower) of each amendment, supplement or modification to any such Applicable Permit to the Administrative Agent and shall promptly Promptly furnish copies to the Administrative Agent of all material documents furnished to the Borrower by any Governmental Authority or furnished to any Governmental Authority by the Borrower. (df) The Borrower shall comply in all material respects with, and ensure compliance in all material respects by all tenants and subtenants, if any, Comply with all applicable Environmental Laws and all applicable or relevant provisions of the Equator Principles, and obtain and comply in all material respects with and maintain, and ensure that all tenants and subtenants obtain and comply in all material respects with and maintain, maintain any and all Applicable Permits required by applicable Environmental Laws Laws, except in each case to the extent the failure to do so would not reasonably be expected to have, individually or applicable provisions of in the Equator Principlesaggregate, a Material Adverse Effect. (eg) The Borrower shall conduct Conduct and complete all investigations, studies, sampling and testing, and all remedial, removal and other actions to the extent required under Environmental Laws and promptly comply in all material respects with all lawful orders and directives of all Governmental Authorities regarding Environmental Laws Laws, except in each case to the extent the failure to do so would not reasonably be expected to have, individually or in the Equator Principlesaggregate, a Material Adverse Effect.

(c) The Borrower shall (and shall cause each Borrower Party to) promptly upon receipt or publication furnish a true, correct, and complete copy (certified by a Responsible Officer of the Borrower) of each material amendment, supplement or modification to any such Applicable Permit to the Administrative Agent and shall promptly furnish copies to the Administrative Agent of all material documents furnished to the applicable Borrower Party by any Governmental Authority or furnished to any Governmental Authority by the Borrowerapplicable Borrower Party. (d) The Borrower shall (and shall cause each Borrower Party to) comply in all material respects with, and ensure compliance in all material respects by all tenants and subtenants, if any, with all applicable Environmental Laws and all applicable or relevant provisions of the Equator Principles, and obtain and comply in all material respects with and maintain, and ensure that all tenants and subtenants obtain and comply in all material respects with and maintain, any and all applicable Permits required by applicable Environmental Laws or applicable provisions of the Equator Principles. (e) The Borrower shall (and shall cause each Borrower Party to) conduct and complete all investigations, studies, sampling and testing, and all remedial, removal and other actions required under Environmental Laws and promptly comply in all material respects with all lawful orders and directives of all Governmental Authorities regarding Environmental Laws or the Equator Principles.

The Borrower and each Project Company shall promptly upon receipt or publication furnish a copy (certified by a Responsible Officer of the Borrower) of each such Applicable Permit to the Administrative Agent. (ce) The Borrower shall promptly Promptly upon receipt or publication publication, furnish a copy (certified by a Responsible Officer of the Borrower) of each material amendment, supplement or modification to any such Applicable Permit to the Administrative Agent and shall promptly furnish copies to the Administrative Agent of all material documents furnished to the Borrower by any Governmental Authority or furnished to any Governmental Authority by the Borrower. (df) The Borrower shall comply in all material respects with, Comply with and use commercially reasonable efforts to ensure compliance in all material respects by all tenants and subtenants, if any, with all applicable Environmental Laws and all applicable or relevant provisions of the Equator Principles, and obtain and comply in all material respects with and maintain, and use commercially reasonable efforts to ensure that all tenants and subtenants obtain and comply in all material respects with and maintain, any and all Applicable Permits required by applicable Environmental Laws Laws, except in each case to the extent the failure to do so would not reasonably be expected to have, individually or applicable provisions of in the Equator Principlesaggregate, a Material Adverse Effect. The Borrower shall promptly upon receipt or publication furnish a copy (certified by a Responsible Officer of the Borrower) of each such Applicable Permit to the Administrative Agent. (c) The Borrower shall promptly upon receipt or publication furnish a copy (certified by a Responsible Officer of the Borrower) of each amendment, supplement or modification to any such Applicable Permit to the Administrative Agent and shall promptly furnish copies to the Administrative Agent of all material documents furnished to the Borrower by any Governmental Authority or furnished to any Governmental Authority by the Borrower. (d) The Borrower shall (i) comply in all material respects with, and ensure compliance in all material respects by all tenants and subtenants, if any, with all applicable Environmental Laws and all applicable or relevant provisions of the Equator PrinciplesLaws, and (ii) obtain and comply in all material respects with and maintain, and ensure that all tenants and subtenants obtain and comply in all material respects with and maintain, any and all material Permits required by applicable Environmental Laws and (iii) generate, use, treat, store, release, transport, dispose of, and otherwise manage all Materials of Environmental Concern in a manner that would not reasonably be expected to result in a material liability or applicable provisions to adversely affect the Project Properties, and take reasonable efforts to prevent any other Person from generating, using, treating, storing, releasing, transporting, disposing of, or otherwise managing Materials of Environmental Concern in a manner that could reasonably be expected to result in a material liability with respect to, or to materially and adversely affect the Equator PrinciplesProject Properties owned or operated by the Borrower. (e) The Borrower shall conduct and complete all investigations, studies, sampling and testing, and all remedial, removal and other actions required under Environmental Laws and promptly comply in all material respects with all lawful orders and directives of all Governmental Authorities regarding Environmental Laws Laws, other than such orders and directives as may be contested in good faith, provided that the pendency of such proceedings, either individually or in the Equator Principlesaggregate, could not reasonably be expected to have to have a Material Adverse Effect.
