Compliance with Loan Agreement and Guarantee and Security Agreement. The Custodian hereby agrees that it is familiar with the provisions of the Loan Agreement and the Guarantee and Security Agreement and that it shall comply with such provisions to the extent that such provisions are applicable to the Custodian thereunder or pursuant to the terms hereof.
