Common use of Compliance with Notice Clause in Contracts

Compliance with Notice. If We give You a notice under clauses 12.1(c) or 12.2, You must: (a) comply with the notice; (b) give Our officers or employees or Our Auditors full and free access to: (i) Your employees; (ii) any premises where the Services are delivered or from which You conduct Your business; and (iii) Your accounts, records, documents and papers that relate directly or indirectly to the receipt, expenditure, or payment of the Funding or the conduct of the Services; and (c) cooperate with Our officers or employees or Our Auditors, including by giving any assistance required to: (i) meet with Your employees; (ii) inspect the performance of the Services; and (iii) locate and make copies of any of Your accounts, records, documents and papers that relate directly or indirectly to the receipt, expenditure, or payment of the Funding or the conduct of the Services.
