The Company has furnished to Buyer complete and accurate copies of the Company’s charter documents, each as amended and/or restated to date (collectively, the “Organizational Documents”). The Company is not in default under or in violation of any provision of its Organizational Documents. The execution, delivery and performance of this Agreement and each of the other agreements contemplated by or referred to herein and the completion of the transactions contemplated hereby by the Company and Seller will not constitute or result in a violation, breach or default, or cause the acceleration of any obligations under:
