Compliance with Permits and Applicable Laws. 5.1 Contractor shall operate and maintain the Facility and Refuse Area(s) and shall perform the Services in accordance with all federal, state and local laws, rules and regulations, now or hereafter in effect, and the Permits (and any additional permits obtained in the future) to operate the Facility and Refuse Area(s). Unless otherwise agreed, Operator shall obtain and maintain in full force and effect, at its sole expense, all permits and approvals necessary for Contractor to operate the Facility and Refuse Area(s) under this Agreement. Notwithstanding the foregoing, Contractor agrees to provide such permitting assistance to Operator as Operator may reasonably request. Contractor shall secure an MSHA Identification Number prior to entering the Premises and/or Facility to perform the Services. Contractor shall file all necessary reports or other documents, whether mandatory or permissible, with the applicable governmental or other officer in order to properly establish and serve notice of Contractor’s sole and exclusive responsibility for the health and safety of its employees, agents and permitted subcontractors and responsibility for compliance with such laws, rules and regulations during the term of this Agreement.

Notwithstanding the foregoing, Contractor agrees to provide offer such permitting assistance to Operator Owner as Operator Owner may reasonably request. , and the cost and expense related to such services shall be included in the compensation to Contractor set forth in Exhibit B. Contractor shall secure an MSHA Identification Number prior to entering the Premises and/or Facility onto Owner’s property to perform the Servicesservices contemplated under this Agreement. Contractor shall file all necessary reports or other documents, whether mandatory or permissible, with the applicable governmental or other officer office(s) in order to properly establish and serve notice of Contractor’s sole and exclusive responsibility for the health and safety of its employees, agents and permitted subcontractors and responsibility for compliance with such laws, rules laws and regulations during the term of this Agreement.
