Common use of Compliance with Regulatory Approvals Clause in Contracts

Compliance with Regulatory Approvals. The Company will comply with the terms and conditions of the final orders of the Illinois Commerce Commission and the Minnesota Public Utilities Commission and the approval of the Commission under the 1935 Act issued on September 4, 2003, March 28, 2003 (as amended August 7, 2003) and October 24, 2001, respectively, as such orders are amended from time to time until superseded, and shall timely file all notifications, forms and reports that may be required in connection therewith so as to permit the completion of the distribution and sale of the Securities as contemplated in this Agreement and in the Prospectus.
