Compliance with Regulatory Approvals. The Company will comply with the terms and conditions of the final order of the Minnesota Public Utilities Commission issued on June 26, 2009, as such order is amended from time to time until superseded, and shall timely file all notifications, forms and reports that may be required in connection therewith so as to permit the completion of the distribution and sale of the Securities as contemplated in this Agreement and in the Prospectus.
