Common use of Compliance with Representations, Warranties and Covenants Clause in Contracts

Compliance with Representations, Warranties and Covenants. All obligations of Buyer under this Agreement shall have been fully performed and complied with, and no event shall have occurred or condition shall exist which would, upon the Closing Date or upon the giving of notice and/or passage of time, constitute a breach or default by Buyer hereunder.

All obligations of Buyer under this Agreement shall have been fully performed and complied withwith in all material respects, and no event shall have occurred or condition shall exist which would, upon the Closing Date or Date, or, upon the giving of notice and/or or passage of time, constitute a breach or default in any material respect by Buyer hereunderunder this Agreement. Seller shall have received such evidence satisfactory to Seller in its reasonable discretion that the representations and warranties of Buyer under this Agreement are true, correct and complete in all material respects as of the Closing Date.
