COMPLIANCE WITH SELLER'S REPRESENTATIONS, WARRANTIES AND COVENANTS. The representations and warranties of Seller contained in Sections 2.1 and 2.2 hereof shall have been true and correct in all material respects when made and shall be true and correct in all material respects as of the Closing with the same force and effort as if made at the Closing. Seller shall have performed in all material respects all agreements, covenants and conditions required to be performed by Seller prior to the Closing.
