Common use of Compliance with Strategic Plan Clause in Contracts

Compliance with Strategic Plan. Other than due to a breach of the Transaction Documents by an Investor, since the First Closing, the Company shall have conducted the business of the Company in material compliance with the Strategic Plan, as the same may be from time to time amended or modified with the consent of the Investors, such consent not to be unreasonably withheld, conditioned or delayed.
