Common use of Compliance with Terms of Governmental Approvals and Consents Clause in Contracts

Compliance with Terms of Governmental Approvals and Consents. From and after the Closing Date, Purchaser shall comply at its own expense with all conditions and requirements imposed on Purchaser as set forth in (a) the Purchaser Approvals that are Governmental Approvals, to the extent necessary such that all such Governmental Approvals will remain in full force and effect assuming, if applicable, continued compliance of the terms thereof by the Seller Parties and (b) all Purchaser Approvals of Persons other than Governmental Authorities, to the extent necessary such that all such consents and approvals will remain effective and enforceable against the Persons giving such consents and approvals, assuming, if applicable, continued compliance with the terms thereof by the Seller Parties.

From and after the Closing Date, the Purchaser shall materially comply at its own expense with all conditions and requirements imposed on Purchaser as set forth in (a) the Purchaser Approvals that are any Governmental Approvals, to the extent necessary such that all such Governmental Approvals will remain in full force and effect assuming, if applicable, continued compliance of the terms thereof of the Governmental Approvals by the Seller Parties and (b) all Purchaser Approvals any consent, waiver or approval of Persons any Person other than Governmental Authorities, to the extent necessary such that all such consents and approvals will remain effective and enforceable against the Persons giving such consents and approvals, assuming, if applicable, continued compliance with the terms thereof of the Governmental Approvals by the Seller PartiesSeller.
