COMPLIANCE WITH THE FCPA. (i) The Founder Parties, Haode Investment and the Group Companies have been and are in full compliance with the FCPA in all respects. No event has occurred and no circumstance exists that (with or without notice or lapse of time) may constitute or result in a violation by any of the Founder Parties, Haode Investment and the Group Companies of, or a failure on the part of any of the Founder Parties, Haode Investment and the Group Companies to comply with, the FCPA.
