Compliance with the Restructuring Plan. For any period of time from an Independent Director Absence Date until the date on which the board of directors of the Company again includes at least the number of independent board members required by, and in accordance with, the Restructuring Plan, the board of directors of the Company shall not approve, enact or otherwise authorize any resolution that fails to comply with Clause 4.1.1.4 of the Restructuring Plan.
