Common use of Compliance with the Sxxxxxxx-Xxxxx Act Clause in Contracts

Compliance with the Sxxxxxxx-Xxxxx Act. The Company is in compliance in all material respects with all provisions of the Sxxxxxxx-Xxxxx Act of 2002 and all rules and regulations promulgated thereunder or implementing the provisions thereof (the “Sxxxxxxx-Xxxxx Act”) that are in effect and with which the Company is required to comply, and is or will be taking steps to ensure that it will be in compliance in all material respects with other provisions of the Sxxxxxxx-Xxxxx Act not currently in effect, upon the effectiveness of such provisions.

Compliance with the Sxxxxxxx-Xxxxx Act. The Company is and its subsidiaries are in compliance in all material respects with all the provisions of the Sxxxxxxx-Xxxxx Act of 2002 and all the rules and regulations promulgated thereunder or implementing the provisions thereof (the “Sxxxxxxx-Xxxxx Act”) that are in effect as of the date hereof and with which the Company is and its subsidiaries are required to comply, and is or will be taking steps to ensure that it will be in compliance in all material respects with other provisions of the Sxxxxxxx-Xxxxx Act not currently in effect, upon the effectiveness of such provisionscomply with.

The Company has taken all necessary actions to ensure that it is in compliance in all material respects with all provisions of the Sxxxxxxx-Xxxxx Act of 2002 and all rules and regulations promulgated thereunder or implementing the provisions thereof (the “Sxxxxxxx-Xxxxx Act”) that are presently in effect and with which the Company is required to complycomply as of the date hereof, and is or will be actively taking steps to ensure that it will be in compliance in all material respects with other provisions of the Sxxxxxxx-Xxxxx Act not currently in effect, upon which will become applicable to the effectiveness of such provisionsCompany at all times after the date hereof.
