Common use of Compulsory Licenses Clause in Contracts

Compulsory Licenses. If a compulsory license is granted to a Third Party with respect to Product in any country in the Territory with a royalty rate lower than the royalty rate provided by Section 5.1.1, then the royalty rate to be paid by ACORDA on Net Sales in that country under Section 5.1.1 shall be reduced to the rate paid by the compulsory Third Party licensee.

Compulsory Licenses. If a compulsory license is granted to a Third Party with respect to a Licensed Product in any country in the Territory with a royalty rate lower than the royalty rate provided by Section 5.1.15.3.1 (as adjusted pursuant to Section 5.3.3), then the royalty rate to be paid by ACORDA Celgene on Per Licensed Product Annual Net Sales in that such country under Section 5.1.1 5.3.1 shall be reduced to the rate paid by the compulsory Third Party licensee[***].

If a compulsory license is granted to a Third Party with respect to any Initial Licensed Product in any country in the Territory with a royalty rate lower than the royalty rate provided by Section 5.1.17.4.1 (as adjusted pursuant to Section 7.4.3), then the royalty rate to be paid by ACORDA Celgene on Per Initial Licensed Product Annual Net Sales in that such country under Section 5.1.1 7.4.1 shall be reduced to the rate paid payable by the compulsory Third Party licensee.
