Common use of Conclusiveness of Statements; Survival Clause in Contracts

Conclusiveness of Statements; Survival. Determinations and statements of any Purchaser pursuant to Sections 10.1, 10.2 and 10.3 shall be conclusive and binding absent manifest error. The Purchasers may use reasonable averaging and attribution methods in determining compensation under Sections 10.1, 10.2 and 10.3, and the provisions of such Sections shall survive repayment of the Notes and termination of this Agreement.

Conclusiveness of Statements; Survival. Determinations and statements of any Purchaser pursuant to Sections 10.1, 10.2 3.1 and 10.3 3.2 shall be conclusive and binding absent manifest demonstrable error. The Purchasers may use reasonable averaging and attribution methods in determining compensation under Sections 10.13.1 and 3.2, 10.2 provided that all such methods are based on and 10.3evidenced by reasonable documentation of the applicable costs, expenses, losses, etc., and the provisions of such Sections shall survive repayment of the Notes, cancellation of the Notes and termination of this Agreement.
