Condition of Asset Purchase Agreement. The Executive acknowledges and agrees that it was a condition to the Company’s execution of the Asset Purchase Agreement that the Executive agree to be bound by the covenants contained in this Section 9 and that the agreement by the Executive to be so bound is an integral part of the consideration under the Asset Purchase Agreement.
