Common use of Condition of Effectiveness Clause in Contracts

Condition of Effectiveness. This Amendment shall be deemed to have become effective as of the date hereof, but such effectiveness shall be subject to the condition precedent that the Administrative Agent shall have received executed counterparts of this Amendment duly executed and delivered by each Borrower, the Administrative Agent and the Required Lenders.

Condition of Effectiveness. This Amendment shall become effective and be deemed to have become effective as of the date hereof, but such effectiveness shall be subject to if, and only if, the condition precedent that the Administrative Agent shall have received executed counterparts copies of this Amendment duly executed and delivered by each Borrower, from the Administrative Agent Company and the Required Lenders.

Condition of Effectiveness. This Amendment shall be deemed to have become effective as of the date hereofSecond Amendment Effective Date, but such effectiveness shall be subject to the condition conditions precedent that the Administrative Agent Agents shall have received executed counterparts of this Amendment duly executed and delivered by each Borrower, the Administrative Agent Reseller and the Required Lenders.

Condition of Effectiveness. This Amendment shall become effective and be deemed to have become effective as of the date hereof, but such effectiveness shall be subject to the condition satisfaction of the conditions precedent that the Administrative Agent shall have received executed each of the following: (a) counterparts of this Amendment duly executed by the Company and delivered by each Borrower, those Lenders that are required to be signatories hereto; and (b) such other documents as the Administrative Agent may reasonably request, all in form and substance reasonably satisfactory to the Required LendersAdministrative Agent.

Condition of Effectiveness. This The effectiveness of this Amendment shall be deemed to have become effective as of the date hereof, but such effectiveness shall be is subject to the condition precedent that the Administrative Agent shall have received duly executed counterparts originals of this Amendment duly executed and delivered by from each of the Borrower, the Administrative Agent Guarantor, the Required Lenders under Section 11.02 of the Credit Agreement, the LC Bank and the Required LendersAdministrative Agent.

Condition of Effectiveness. This Amendment shall be deemed to have become effective as of the date hereof, but such effectiveness shall be subject to the condition precedent that first above written when the Administrative Agent shall have received executed counterparts of this Amendment duly executed and delivered by each the Borrower, the Administrative Agent Subsidiary Guarantors and the Required LendersBanks.

Condition of Effectiveness. This The effectiveness of this Amendment shall be deemed to have become effective as of the date hereof, but such effectiveness shall be is subject to the condition precedent that following conditions precedent: the Administrative Agent shall have received executed counterparts of this Amendment duly executed by the Borrowers and delivered the Required Lenders; and all of the Administrative Agent’s reasonable and documented accrued costs, fees and out-of-pocket expenses through the date hereof, in each case owing by each Borrower, the Borrowers to the Administrative Agent and invoiced prior to the Required Lendersdate hereof shall have been fully paid.

Condition of Effectiveness. This Amendment shall become effective and be deemed to have become effective as of the date hereof, but such effectiveness shall be subject to the satisfaction of the condition precedent that the Administrative Agent shall have received executed counterparts of this Amendment duly executed by the Borrower and delivered by each Borrower, the Administrative Agent and the Required Lendersthose Lenders that are required to be signatories hereto.

This The effectiveness of this Amendment shall be deemed to have become effective as of the date hereof, but such effectiveness shall be is subject to the condition conditions precedent that (i) the Administrative Agent shall have received executed counterparts of this Amendment duly executed by the Borrowers, the Required Lenders and delivered by each Borrower, the Administrative Agent and (ii) the Required LendersAdministrative Agent shall have received from the Parent, for the account of each Lender signatory hereto that delivers its executed signature page to this Amendment by no later than the date and time specified by the Administrative Agent, an amendment fee in an amount equal to $5,000.

This Amendment shall become effective and be deemed to have become effective as of the date hereof, but such effectiveness shall be subject to the condition satisfaction of the conditions precedent that the Administrative Agent shall have received executed each of the following: (a) counterparts of this Amendment duly Amendment, executed and delivered by each Borrowerof the parties hereto; (b) such other documents as the Administrative Agent may reasonably request, including such documents, instruments and other agreements, all in form and substance reasonably satisfactory to the Administrative Agent and the Required Lendersas more fully described on Exhibit D hereto.

This Amendment shall become effective and be deemed to have become effective as of the date hereof, but such effectiveness shall be subject to the condition satisfaction of the conditions precedent that the Administrative Agent shall have received executed each of the following: (a) counterparts of this Amendment duly executed by the Company and delivered by each Borrower, the Lenders; and (b) such other documents as the Administrative Agent may reasonably request, all in form and substance reasonably satisfactory to the Required LendersAdministrative Agent.

Condition of Effectiveness. This Amendment shall be deemed to have become effective as of the date hereofhereof (the “Effective Date”), but such effectiveness shall be subject to the condition conditions precedent that the Administrative Agent Agents shall have received executed counterparts of this Amendment duly executed and delivered by each Borrower, the Administrative Agent Reseller and the Required Lenders.

Condition of Effectiveness. This Amendment shall become effective and be deemed to have become effective as of the date hereof, but such effectiveness shall be subject to the condition satisfaction of the conditions precedent that the Administrative Agent shall have received executed each of the following: (a) counterparts of this Amendment duly Amendment, executed and delivered by each Borrower, of the parties hereto; (b) such other documents as the Administrative Agent may reasonably request, including such documents, instruments and other agreements, all in form and substance reasonably satisfactory to the Required LendersAdministrative Agent.

Condition of Effectiveness. This The effectiveness of this Amendment shall be deemed to have become effective as of the date hereof, but such effectiveness shall be is subject to the condition precedent that the Administrative Agent shall have received executed (i) counterparts of this Amendment duly executed by the Borrowers, the Required Lenders and delivered by each Borrower, the Administrative Agent and (ii) counterparts of the Required LendersConsent and Reaffirmation attached as Exhibit A hereto duly executed by the Subsidiary Guarantor.
