All of the material Properties and systems of the Borrower and its Subsidiaries are in good repair, working order and condition, ordinary wear and tear excepted, and are in material compliance with all Applicable Laws and all Governmental Approvals (including the Material Concessions) except as could not, individually or in the aggregate, reasonably be expected to result in a Material Adverse Change.
