Common use of Condition of Tangible Assets Clause in Contracts

Condition of Tangible Assets. All buildings, structures, facilities, equipment and other material items of tangible property and assets included in the Assets are in good operating condition and repair, subject to normal wear and maintenance, are usable in the regular and ordinary course of business and conform to all applicable laws, ordinances, codes, rules and regulations relating to their construction, use and operation.

Condition of Tangible Assets. All buildings, plants, leasehold improvements, structures, facilities, equipment and other material items of tangible property and assets included in which are owned, leased or used by the Assets Company or any of its Subsidiaries are structurally sound, are in good operating condition and repair, repair (subject to normal wear and maintenancetear given the use and age of such assets), are usable in the regular and ordinary course of business and conform to all applicable laws, ordinances, codes, rules Laws and regulations Authorizations relating to their construction, use and operation.

Condition of Tangible Assets. All The buildings, plants, structures, facilitiesfurniture, equipment fixtures, machinery, equipment, vehicles and other material items of tangible personal property and assets of the Company included in the Assets Assets, are in good operating condition and repair, subject and are adequate for the uses to normal wear which they are being put, and maintenancenone of such buildings, plants, structures, furniture, fixtures, machinery, equipment, vehicles and other items of tangible personal property is in need of maintenance or repairs except for ordinary, routine maintenance and repairs that are usable not material in the regular and ordinary course of business and conform to all applicable laws, ordinances, codes, rules and regulations relating to their construction, use and operationnature or cost.

Condition of Tangible Assets. All buildings, structures, facilities, equipment and other material items of tangible property and assets included in the Tangible Assets or any of them are in good operating condition and in good condition of maintenance and repair, subject to normal ordinary wear and maintenancetear excepted, are usable in the regular and ordinary course of business and conform to all applicable laws, ordinances, codesrules, rules regulations and regulations relating to their constructiontechnical standards and all applicable building, use zoning laws and operationother Laws.

Condition of Tangible Assets. All buildings, structures, facilities, equipment and other material items of tangible property and assets included in the Assets are in good operating condition and repair, subject to normal wear and maintenance, are usable in the regular and ordinary course of business and, to the best of Seller's and Fendrich's knowledge after reasonable investigation, conform to all applicable laws, ordinances, codes, rules and regulations relating to their construction, use and operation.

Condition of Tangible Assets. All buildings, structures, facilities, equipment and other material items of tangible personal property and assets included in the Purchased Assets are in good operating condition and repair, subject to normal ordinary wear and maintenancemaintenance requirements, are usable in the regular and ordinary course of business as currently conducted and conform conform, in all material respects, to all applicable laws, ordinances, codes, rules laws and regulations relating to their construction, use and operation.

Condition of Tangible Assets. All To the Knowledge of Sellers, all buildings, structures, facilitiesFacilities, equipment and other material items of tangible property and assets that are included in the Acquired Assets are in good operating condition and repair, subject to normal wear and maintenance, are usable in the regular and ordinary course of business and conform to all applicable laws, ordinances, codes, rules and regulations relating to their construction, use and operation.

All materials, buildings, plants, leasehold improvements, structures, facilities, equipment and other material items of tangible property and assets included in the Assets which are owned, leased or used by any Acquired Company are in good operating condition and repair, repair (subject to normal wear and maintenancetear given the use and age of such assets), and are usable in the regular and ordinary course of business and conform to all applicable laws, ordinances, codes, rules and regulations relating to their construction, use and operationbusiness.
