CONDITION PRECEDENT; CLOSING. (a) The obligations of each party to effect the purchase and sale of the Shares and the Option shall be subject to the approval by the Company's stockholders at the Company's next annual meeting of stockholders of (i) the terms hereof, and (ii) an amendment to the Company's certificate of incorporation increasing the number of authorized shares of Common Stock to a number sufficient to permit the issuance of the Shares and the Option hereunder.
