Condition Precedent of CPUC Approval. (a) Buyer shall file this Agreement with the CPUC seeking an order that, after issuance and the passage of time, would constitute a CPUC Approval (“Approval Application”). Seller agrees to cooperate with Buyer in preparing and filing the Approval Application and to actively support that application, as reasonably requested by Buyer.
