CONDITION PRECEDENT TO PURCHASER'S OBLIGATION. TO CLOSE ------------------------------------------------------ In addition to the conditions set forth in Article VI, Purchaser's obligation to purchase the Shares and to take the other actions required to be taken by Purchaser at the First Closing and the Second Closing is subject to the satisfaction, at or prior to such Closing, of each of the following conditions (any of which may be waived in writing by Purchaser, in whole or in part): 7.1 NO CLAIM REGARDING STOCK OWNERSHIP OR SALE PROCEEDS. There must not be pending any claim by any Person against the Company or Seller asserting that such Person (a) is the holder or the beneficial owner of, or has the right to acquire or to obtain beneficial ownership of, any of the Shares, or (b) is entitled to all or any portion of the consideration payable for the Shares.
