As a condition and inducement to Grantee's ----------------- execution of the Plan and Grantee's agreement referred to in the next sentence, Grantee has required that Issuer agree, and Issuer has agreed, to grant Grantee the Option (as hereinafter defined). As a condition and inducement to Issuer's execution of the Plan and this Agreement, Grantee and Issuer have concurrently herewith entered into an agreement (the "CoreStates Stock Option Agreement") to grant an option to Issuer on terms and conditions substantially identical to those of the Option and this Agreement.
