Condition to Put Option Exercise. As a condition to the exercise of the Put Option and issuance of the Payment Notes, the representations in Sections 2(a)(ii) and 2(a)(iii) shall be true and correct in all respects at the time of closing on the Closing Date of the purchase of the Holding Company Securities and issuance of the Payment Notes.
