Common use of Condition to Sale Clause in Contracts

Condition to Sale. Notwithstanding anything in this Agreement to the contrary, the Company shall have no obligation to sell any Common Stock to the Employee if the Employee is a resident of a jurisdiction in which the sale of Common Stock to him or her would constitute a violation of the securities, “blue sky” or other laws of such jurisdiction.

Condition to Sale. Notwithstanding anything in this Agreement to the contrary, the Company shall have no obligation to sell any Common Stock to any person who is not an employee of the Employee if Company or any of its Subsidiaries at the Employee time that such shares of Common Stock are to be sold or who is a resident of a jurisdiction in which the sale of Common Stock to him or her would constitute a violation of the securities, “blue sky” or other laws of such jurisdiction.

Notwithstanding anything in this Agreement to the contrary, the Company shall have no obligation to sell any Common Stock Shares to any person who is not an employee of the Employee if Company or any of its Subsidiaries at the Employee time that such Common Shares are to be sold or who is a resident of a jurisdiction in which the sale of Common Stock Shares to him or her would constitute a violation of the securities, “"blue sky” " or other laws of such jurisdiction, or if the Employee's proposed investment in the Shares is less than the minimum established for the Employee by the Company.

Notwithstanding anything in this Agreement to the contrary, the Company shall have no obligation to sell any Common Stock to any person who is not an employee of the Employee if Company or any of its Subsidiaries at the Employee time that such Common Stock is to be sold or who is a resident of a jurisdiction in which the sale of Common Stock to him or her would constitute a violation of the securities, “blue sky” or other laws of such jurisdiction.

Notwithstanding anything in this Agreement to the contrary, the Company shall have no obligation to sell any Applicable Common Stock to the Purchaser if he or she is not an Eligible Employee or Director at the time such stock is to be sold or if the Employee he or she is a resident of a jurisdiction in which the sale of Applicable Common Stock to him or her would constitute a violation of the securities, “blue sky” or other laws of such jurisdiction.

Notwithstanding anything in this Agreement to the contrary, the Company shall have no obligation to sell any Common Stock to any Person who is not a current or former employee of the Employee if Company or any of its Subsidiaries at the Employee time that such Common Stock is to be sold or who is a resident of a jurisdiction in which the sale of Common Stock to him or her would constitute a violation of the securities, “blue sky” or other laws of such jurisdiction.

Notwithstanding anything in this Agreement to the contrary, the Company shall have no obligation to sell any Common Stock to any person who is not a current or former employee of the Employee if Company or any of its Subsidiaries at the Employee time that such shares of Common Stock are to be sold or who is a resident of a jurisdiction in which the sale of Common Stock to him or her would constitute a violation of the securities, “blue sky” or other laws of such jurisdiction.

Condition to Sale. Notwithstanding anything in this Agreement to the contrary, the Company shall have no obligation to sell any Common Stock to any person who is not a member of the Employee if Board at the Employee time that such shares of Common Stock are to be sold or who is a resident of a jurisdiction in which the sale of Common Stock to him or her would constitute a violation of the securities, “blue sky” or other laws of such jurisdiction.

Notwithstanding anything in this Agreement to the contrary, the Company shall have no obligation to sell any Common Stock to any person who is not an employee of the Employee if Company or any of its Subsidiaries at the Employee time that such Common Stock is to be sold or who is a resident of a jurisdiction in which the sale of Common Stock to him or her would constitute a violation of the securities, “blue sky” or other laws of such jurisdiction.
