CONDITION TO THE OBLIGATIONS OF NYLIFE. The obligations of NYLIFE to consummate the transactions contemplated by this Agreement are subject to the receipt of a certificate duly executed by an authorized officer of ESI certifying that the representations and warranties of ESI under this Agreement are true and correct in all material respects as of the Closing Date or waiver of this condition by NYLIFE.
