Conditional Grant. This Stock Option is granted upon the condition that the Option Shares shall be forfeited unless each and any person who is a spouse of the Participant at any time on or after the Grant Date (including any person who becomes a spouse after the Grant Date) executes a Consent of Spouse form provided by the Committee, unless the Committee shall waive such condition.
Conditional Grant. If the Participant is a resident of a community property state, this Option is granted upon the condition that, and the Option Shares shall be forfeited unless, each and any person who is a spouse of the Participant at any time on or after the Grant Date (including any person who becomes a spouse after the Grant Date) executes a Consent of Spouse form provided by the Committee, unless the Committee shall waive either such condition.
Conditional Grant. Unless you accept all the terms and conditions of this Agreement, you receive no rights or licenses hereunder. In the absence of a signed license agreement between Licensor and Licensee specifying alternate terms, any use of the Licensed Programs by the Licensee shall be considered acceptance of these terms. The Licensed Programs are copyrighted and are licensed, not sold to you. If you are not willing to be bound by the terms of this Agreement, do not install, copy or use the Licensed Programs. If you received this software from any source other than the Licensor, your access to the Licensed Programs is NOT permitted under this Agreement, and you must delete the software and any copies from your systems.
Conditional Grant. 2.1 The Project will start April 1, 2023 and must be completed by March 31, 2024, unless an extension has been approved in advance by HCTF.
2.2 The Conditional Grant is for one (1) year only as set out in section 2.
1. Any future funding for this Project beyond one year requires the submission and approval of a new proposal for each subsequent year. HCTF will not be liable to the Recipient in any way if funding is not provided beyond one year.
2.3 The Conditional Grant is to be spent on the Project, as specified in the Proposal including any modifications from the Funding Conditions. Prior written approval by HCTF is required for any changes to activities or budgets related to the Project beyond 20% of the budget.
2.4 The Grant Amount is conditional on compliance by the Recipient with the terms and conditions of this Agreement, including any terms and conditions which may reduce funding.
2.5 The HCTF will provide the Recipient with a Conditional Grant to a maximum of the Grant Amount, as follows:
(a) an Accountable Advance of 50%, following:
(i) the execution and delivery of this Agreement; and
(ii) satisfactory evidence Funding Conditions have been satisfied;
(b) an Accountable Advance of up to 30% upon receipt of an invoice confirming that the initial 50% Accountable Advance has been fully spent; and
(c) a final payment of up to 20% upon Project completion, submission of an HCTF approved Grant Report, and an invoice requesting final payment. The final 20% represents a holdback and is not an Accountable Advance. The Recipient must submit the Grant Report and final invoice by no later than April 15, 2024.
2.6 The Recipient must return to HCTF any portion of the Conditional Grant not spent by Recipient by within 60 days of Project completion.
2.7 HCTF may, at its sole discretion, refuse to make a payment if outstanding Grant Reports exist relating to any other contractual obligations the Recipient may have with HCTF.
2.8 Despite any other terms of this Agreement, HCTF may deduct from any payment:
(a) any costs claimed by the Recipient that HCTF, acting reasonably, deems not to be Eligible Costs;
(b) any adjustments HCTF is entitled to make under this Agreement; and
(c) any amounts the Recipient owes HCTF for any reason.
Conditional Grant. The Company hereby agrees to grant _______ shares of Common Stock (the "Shares") to Employee immediately upon the satisfaction of the terms and conditions set forth in Section 3 of this Agreement. The award of Shares shall be effective as of the Grant Date, as defined in Section 3 below. The Company agrees to issue and deliver to Employee a certificate representing the Shares promptly upon the Grant Date.
Conditional Grant. The City Funds being provided hereunder are being granted on a conditional basis, subject to the Developer's compliance with the provisions of this Agreement. The City Funds are subject to being reimbursed as provided herein including, but limited to, Section 15.02 hereof.
Conditional Grant. To the extent required by the Administrator, this Stock Option is granted upon the condition that, and the Option Shares shall be forfeited unless, each and any person who is a spouse of the Participant at any time on or after the Grant Date (including any person who becomes a spouse after the Grant Date) executes a Consent of Spouse form provided by the Administrator, substantially in the form of Exhibit B attached hereto. Furthermore, unless the Administrator shall waive such condition, this Stock Option is granted upon the condition that, and the Option Shares shall be forfeited unless, the Participant becomes a party to the Stock Restriction and Co-Sale Agreement attached hereto as Exhibit C by executing and delivery simultaneously herewith an executed Instrument of Accession in the form of Schedule II thereto.
Conditional Grant. It is not considered by the Parties that Neustar’s development, deployment, operation, management, or administration of a Clearinghouse or Registry as contemplated herein would require Neustar to obtain a license to the NeoMedia Licensed Patents. However, to the extent that it might require it, NeoMedia shall grant to Neustar a royalty-free license to the NeoMedia Licensed Patents for the purpose of administering or operating a Clearinghouse and Registry , as contemplated herein.
Conditional Grant. This Option is granted upon the conditions and the Option Shares hereunder shall be forfeited unless each and any person who is a spouse of the Participant at any time on or after the Grant Date (including any person who becomes a spouse after the Grant Date) executes a Consent of Spouse form provided by the Committee, unless the Committee shall waive either such condition.
Conditional Grant. 3.1 The monies are to be spent on the Project, as specified in the Proposal including any modifications from the Funding Conditions.
3.2 All funding under this Agreement is conditional on compliance by the Recipient with the terms and conditions of this Agreement and subject to those terms and conditions which may reduce funding.
3.3 The HCTF will provide the Recipient with a Conditional Grant to a maximum of $<> for Eligible Costs, as follows:
(a) an Accountable Advance of $<> (50%), following:
(i) the execution and delivery of this Agreement;
(ii) the Recipient’s submission to HCTF of certificates evidencing insurance requirements as set out in Part 9.0; and
(iii) satisfactory evidence Funding Conditions have been satisfied;
(b) an Accountable Advance of up to $<> (30%) once the initial 50% Accountable Advance has been fully spent, and an acceptable invoice requesting payment of the next Accountable Advance is submitted The invoice must clearly indicate that the initial 50% Accountable Advance has been fully spent; and
(c) a final payment of up to $<> (20%) upon submission of an acceptable Grant Report, approved by HCTF, with an invoice requesting final payment. The final 20% represents a holdback (i.e. not an advance). The Recipient must complete the Project before requesting final payment.
3.4 Despite Paragraph 3.3, HCTF may, at its sole discretion, refuse to make a payment under that Paragraph if, when the payment is due, the Recipient is in default either:
(a) under the terms of this Agreement; or
(b) if outstanding Project Deliverables exist relating to any other contractual obligations the Recipient may have with HCTF.
3.5 All requests for payment should identify the Reference no – {Insert CAT21-X-XXX}.
3.6 The Recipient must return any unspent funds to HCTF within 60 days of the Project completion or immediately upon the termination of this Agreement.
3.7 Expenses claimed (e.g. travel, hotels, and meals) cannot exceed HCTF’s travel expense rates as set out on HCTF’s Website or available upon request from HCTF.
3.8 Despite any other terms of this Agreement, HCTF may deduct from an Accountable Advance or request for final payment:
(a) any costs claimed by the Recipient that HCTF deems not to be Eligible Costs;
(b) any adjustments HCTF is entitled to make under this Agreement; and
(c) any amounts the Recipient owes HCTF for any reason.
