Common use of Conditional Notice Clause in Contracts

Conditional Notice. Any notice of optional redemption delivered hereunder may be conditioned on any fact or circumstance stated therein, and if such condition shall not have been satisfied on or prior to the redemption date stated in such notice, said notice shall be of no force and effect on and as of the stated redemption date, the redemption shall be cancelled, and the District shall not be required to redeem the Bonds that were the subject of the notice. The Paying Agent shall give notice of such cancellation and the reason therefor in the same manner in which notice of redemption was originally given. The actual receipt by the owner of any Bond of notice of such cancellation shall not be a condition precedent to cancellation, and failure to receive such notice or any defect in such notice shall not affect the validity of the cancellation.

Any notice of optional redemption of the Bonds delivered hereunder in accordance herewith may be conditioned on any fact or circumstance stated therein, and if such any condition stated in the notice of redemption shall not have been satisfied on or prior to the redemption date stated in such noticedate, (i) said notice shall be of no force and effect on and as of the stated redemption dateeffect, the redemption shall be cancelled, and (ii) the District shall not be required to redeem such Bonds, (iii) the Bonds that were redemption shall be cancelled and (iv) the subject of the notice. The Paying Agent shall within a reasonable time thereafter give notice of such cancellation to the persons and the reason therefor in the same manner in which the conditional notice of redemption was originally given, that such condition or conditions were not met and that the redemption was cancelled. The actual receipt by the owner Owner of any Bond of notice of such cancellation shall not be a condition precedent to cancellation, and failure to receive such notice or any defect in such notice shall not affect the validity of the cancellation.
