Conditions for LICENSEE Defense. To be entitled to defense by LICENSEE against a third-party claim, an Indemnified Party shall provide LICENSEE with reasonable notice of the existence of a claim by the most expeditious means possible upon learning of the assertion of a claim against the Indemnified Party (whether or not litigation or other proceeding has been filed or notice thereof served).
