Common use of Conditions in Favour of Target Clause in Contracts

Conditions in Favour of Target. The obligations of Target to complete the Arrangement shall be subject to the fulfilment, or the waiver by Target, on or before the Outside Date, of the conditions set forth in Schedule D, each of which is for the exclusive benefit of Target and may be waived by Target alone, at any time, in whole or in part, in its sole discretion.

Conditions in Favour of Target.
