CONDITIONS OF CLOSE WITH RESPECT TO PURCHASER. All obligations of Purchaser under this Agreement are subject to fulfillment, at or prior to the Closing Date of the following conditions, part or all of which may be waived by Purchaser only by written notice to Seller on or before the Closing Date.
