Common use of Conditions of Dealer-Manager’s Duties Clause in Contracts

Conditions of Dealer-Manager’s Duties. The Dealer-Manager’s obligations under this Agreement, including the duty to pay compensation and reimbursements to you as set forth in Section 2 of this Agreement, shall be subject to the following: (a) the accuracy, as of the date of this Agreement and at the applicable closing date as if made at the applicable closing date, of your representations and warranties made in this Agreement; (b) the performance by you of your obligations under this Agreement; and (c) the Dealer-Manager’s receipt, at or before the applicable closing date, of the following documents: (i) the file memoranda required pursuant to Section 1(e)(iii) and (iv) of this Agreement; and (ii) fully executed subscription documents for each prospective purchaser as required by Section 1(e)(x) of this Agreement.
