CONDITIONS OF SELLER'S OBLIGATIONS TO CLOSE. The obligations of Seller under this Agreement are subject to fulfillment of the conditions set forth below. The obligation of Seller to sell the Shares at the Closing is subject to the fulfillment on or before the Closing of the following condition: the representations and warranties set forth in Section 4 hereof shall be accurate as of the Closing Date as if made on the Closing Date and Seller shall have received a certificate dated the Closing Date and signed by the general partner of Buyer to such effect.
