Common use of Conditions of the Managers’ Obligations Clause in Contracts

Conditions of the Managers’ Obligations. The obligations of each Manager hereunder and under any Terms Agreement are subject to (i) the accuracy of the representations and warranties of the Partnership herein on the date hereof, as of each Applicable Time, as of the date of any executed Terms Agreement and as of each Settlement Date, in each case as if made on and as of such date, (ii) the performance by the Partnership of its obligations hereunder and (iii) the following additional conditions:
