Common use of Conditions Permitting Termination Clause in Contracts

Conditions Permitting Termination. Either party may on the Closing Date terminate this Agreement by written notice to the other, without liability to the other, if any bona fide action or proceeding shall be pending against either party on the Closing Date that could result in an unfavorable judgment, decree or order that would prevent or make unlawful the carrying out of this Agreement.

Either Any party may on the Closing Date terminate this Agreement by written notice to the other, without liability to the other, if if: (i) any bona fide legal action or proceeding shall be pending against either any party on the Closing Date that could result in an unfavorable judgment, decree decree, or order that would prevent or make unlawful the carrying out of this Agreement; or (ii) if Closing shall not have occurred by March 1, 1997, unless all of the parties hereto mutually agree in writing to extend such date.
