CONDITIONS PRECEDENT AND CONTINUING REPRESENTATIONS AND WARRANTIES. The obligations of each party hereto to consummate the transactions provided for herein are subject to all representations and warranties of the other parties contained herein being true and correct in all material respects as of the date hereof and as of the date of the transactions contemplated hereby. Accordingly, each party shall be deemed to have made each representation and warranty herein anew as of the date of each transaction.
