Conditions Precedent for all Transactions. No Material Adverse Change. Federated’s and Passport’s (pre-Closing) obligations to consummate any Transaction shall be subject to the condition that there shall have been no Material Adverse Change with respect to ▇▇▇▇▇ or Buyer, or the TFMMF or EJMMF (as applicable), from the date of this Agreement through the date(s) on which such Transaction is consummated. ▇▇▇▇▇’ and Buyer’s obligations to consummate any Transaction shall be subject to the condition that there shall have been no Material Adverse Change with respect to Federated or Passport (pre-Closing), or the TFMMF or EJMMF (as applicable), from the date of this Agreement through the date(s) on which such Transaction is consummated.
